Sandton VIP Companions ("we", "our", "us") is an introductions and lifestyle companionship platform. We do not offer, arrange, advertise, solicit, or facilitate sexual services. Any arrangements made between adults after an introduction are strictly private, consensual, and must comply with South African law.

Part A — Introduction

1) Agreement to these Terms
1.1. By accessing or using our website, apps, or related digital services (collectively, the Website) or by submitting a listing/profile or media to us (collectively, the Services), you agree to these Terms and Conditions (the Terms) including our Privacy Policy, Acceptable Usage Policy, Copyright & Trade Marks, and Disclaimer.
1.2. If you do not agree, do not use the Website or Services.

2) Nature of Services
2.1. We provide digital listing, profile hosting, introductions, event/lifestyle companionship facilitation tools, and optional creative/web services for profile owners (the Platform Services).
2.2. We are not a party to any arrangement between a profile owner and a site user. We do not employ, manage, or represent companions or models.

Part B — Profile Owners (Advertisers)

3) Listings & Content
3.1. You must be 18+, provide accurate information, and only submit media/content that you own or are authorised to use.
3.2. You may not impersonate anyone, submit misleading/deceptive media, or refer users to competing directories.
3.3. You warrant that your listing complies with South African law, including the Consumer Protection Act (CPA), POPIA, ECTA, Cybercrimes Act, Trade Marks Act, and Copyright Act.
3.4. You grant us a non-exclusive, worldwide, royalty-free licence to host, display, crop, resize, and format your content for the Website, solely to operate and promote your listing and the Platform Services.
3.5. We may edit/crop images to fit layouts. If you require blurring/cropping, notify us in writing when submitting.
3.6. We may decline, suspend, or remove any listing at our discretion (e.g., suspected IP infringement, deceptive images, breach of law/Terms, reputational risk).

4) Image Authenticity & Verification
4.1. We may request image verification (e.g., a fresh photo showing identifiable, non-sensitive matching features).
4.2. A "Verified Photos" badge reflects our reasonable opinion at a point in time and is not a warranty.
4.3. You must keep profile images current and representative.

Part C — Website Users

5) User Responsibilities
5.1. Use the Website lawfully and respectfully. Do not harass, abuse, defame, discriminate, or infringe IP.
5.2. Conduct your own checks on a profile owner's authenticity and suitability. We do not endorse, employ, or guarantee any individual.
5.3. Exercise caution with any arrangements or exchanges; we are not liable for sums paid to third parties.

Part D — Acceptable Use, Security & IP

6) Acceptable Usage
6.1. Prohibited: illegal content/activity; incitement; threats; hate speech; IP infringement; malware; spam; scraping; bypassing access controls.
6.2. We may monitor/log usage for security and compliance. Unauthorised use may lead to civil/criminal action.

7) System & Network Security
7.1. No hacking, probing, DDoS/flooding, interception, spoofing, or credential sharing.
7.2. We may cooperate with law enforcement and take technical/legal steps to protect the Platform.

8) Intellectual Property
8.1. Site content is protected by South African copyright and trade mark law. Personal, non-commercial viewing only.

11.1. To the maximum extent permitted by law (including the CPA), we exclude all liability for any loss, damage, costs or claims (direct, indirect, consequential, economic, reputational, data loss) arising from or in connection with the Website, Services, listings, introductions, or user conduct.
11.2. Where liability cannot be excluded, our aggregate liability is limited to the re-supply of the affected Service, or the direct cost of doing so, whichever we choose.

12) Indemnity
12.1. You indemnify us (and our officers, employees, and contractors) against all losses, claims, damages, penalties, and costs (including reasonable legal fees) arising from:
(a) your content or conduct;
(b) breach of these Terms;
(c) violation of law or third-party rights;
(d) any arrangement you make with another user/profile owner.

13.2. You must not submit any third party's personal information without lawful basis and necessary consents.

14) Suspension / Termination
14.1. We may suspend or terminate access to the Website/Services immediately if you breach the law or these Terms, or where required to protect users, our reputation, or compliance obligations.

15) Governing Law & Jurisdiction
15.1. These Terms are governed by the laws of the Republic of South Africa.
15.2. Any disputes shall be subject to the exclusive jurisdiction of the South African courts.
